1. Scope of Services

These terms and conditions govern the use of the NearTech Digital OÜ website and the provision of our digital engineering and platform consulting services. By accessing our website or engaging our services, you agree to comply with and be bound by these terms.

2. Intellectual Property Rights

Unless explicitly agreed otherwise in a signed Statement of Work (SOW) or Master Services Agreement (MSA), all pre-existing intellectual property, proprietary tools, and architectural frameworks remain with NearTech Digital OÜ. Bespoke code, designs, and deliverables produced during a client engagement transfer to the client upon full payment of related invoices.

3. Warranties & Limitations of Liability

While we apply rigorous engineering standards and continuous quality assurance, services are provided on a professional consulting basis. To the maximum extent permitted by applicable Estonian and European Union law, NearTech Digital OÜ shall not be held liable for any indirect, incidental, or consequential damages resulting from platform usage or service delivery.

4. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Republic of Estonia, without regard to conflict of law principles. Any legal disputes arising out of these terms shall be subject to the exclusive jurisdiction of the Harju County Court (Harju Maakohus) in Tallinn, Estonia.
